Indianapolis-based Faegre Baker Daniels LLP is representing Canadian convenience store giant Couche-Tard Inc. in its $1.7 billion acquisition of The Pantry Inc. in North Carolina. Couche-Tard operates Circle K, which has its Midwest headquarters in Columbus.

Indianapolis, Ind. -- Faegre Baker Daniels is representing Alimentation Couche-Tard Inc. (Couche-Tard) in the acquisition of The Pantry in an all-cash transaction valued at approximately $1.7 billion including debt assumed. The companies signed a definitive merger agreement on Dec. 18, 2014, and the deal is expected to close in the first half of 2015, subject to the approval of The Pantry shareholders and customary regulatory approvals.
Couche-Tard is the leader in the Canadian convenience store industry. In the United States, it is the largest independent convenience store operator in terms of number of company-operated stores. The company has more than 6,000 stores and 60,000 employees throughout North America. The company also has operations across Europe and Asia. North Carolina-based convenience store chain The Pantry operates more than 1,500 stores in 13 states.
Faegre Baker Daniels' Jeff Brown, Mike Stanchfield and Jon Nygren, corporate partners, and Brandon Mason, corporate associate, lead the deal team advising Couche-Tard.
